OFFER DOCUMENT: WHAT TO READ IN A HUNDRED PAGES

The parts of the IPO prospectus and scheme document that really matter

Published by The Retail Trader · AUG 07, 2026 · Features

The offer document is very long and is written for disclosure, not for reading. There are some parts of it which take mere minutes to read and which change the whole picture.

IN IPO PROSPECTUS

Objects of the issue — Where is the money going? If a large portion is going to existing shareholders, that is not fundraising, it is exit.

Risk factors — The company itself writes about what could go wrong. And the summary section of the financial statements.

IN SCHEME DOCUMENT

These lines should be seen in the mutual fund document:
• Investment objective and range of asset allocation.
• Benchmark — against what the fund will be compared.
• Exit load and lock-in.
• Name of the fund manager and his remaining funds.

A PRACTICAL POINT

The Risk factors section is often the most important part of the entire document, because it has to be written legally. If you only have time to read one section, read that one — marketing material will be found everywhere.

This article is for educational purposes only. It is not a buy or sell recommendation, a claim of guaranteed returns, or advisory guidance. Exchanges, SEBI and RBI change rules, rates and procedures from time to time, so verify every figure with your broker or an official source.
